General Terms and Conditions (B2B).

1. Scope of Application
These General Terms and Conditions (GTC) apply to all business relations between Daxchem GMBH (hereinafter "Seller") and our customers (hereinafter "Buyer").
Our offerings are strictly directed at B2B entrepreneurs, legal entities under public law, or special funds under public law according to § 310 para. 1 BGB. We do not sell to private consumers.
2. Offers, Contracts, and Product Specifications
- All offers made by the Seller are subject to change and non-binding unless explicitly marked as binding.
- A binding contract is only concluded upon the Seller's written order confirmation or the physical dispatch of the goods.
- The technical data sheets (TDS), certificates of analysis (CoA), and material safety data sheets (MSDS) provided with the order confirmation represent the sole binding specifications of the chemicals.
3. Pricing and Payment Terms
Unless otherwise agreed in writing, our prices are strictly net Ex Works (EXW) Hamburg, excluding packaging, logistics, customs, and applicable statutory value-added tax.
Invoices are payable strictly net within 30 days of the invoice date. In the event of default, the Seller is entitled to charge statutory default interest for B2B transactions (9 percentage points above the base interest rate).
4. Delivery and Transfer of Risk
Delivery dates are approximate unless a fixed date has been explicitly agreed. The risk of accidental loss or deterioration of the goods transfers to the Buyer as soon as the goods have been handed over to the carrier or logistics provider.
5. REACH Compliance & Liability
Daxchem GMBH ensures that all supplied substances comply with the REACH Regulation (EC) No 1907/2006. However, the Buyer is solely responsible for ensuring that their specific end-use of the chemicals complies with local regulations, safety standards, and environmental laws.
The Seller's liability for damages—regardless of the legal grounds—is limited to intent and gross negligence. We assume no liability for improper storage, handling, or unauthorized modifications of the chemical products by the Buyer.
6. Governing Law and Jurisdiction
The laws of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from this contract is Hamburg, Germany.
